This Agreement is an official and public offer of the Seller to enter into a contract of sale of Goods presented on the websites https://elagro.com.ua/, https://*.elagro.com.ua/ and in the mobile application "GLOBAL ELAGRO".

 This Agreement is public, meaning that pursuant to Article 633 of the Civil Code of Ukraine, its terms are identical for all buyers regardless of their status (individual, legal entity, individual entrepreneur) without giving preference to one buyer over another.

 By concluding this Agreement, the Buyer fully accepts the terms and procedures for placing an order, payment for goods, delivery of goods, return of goods, liability for bad-faith ordering, and all other terms of the agreement.

 The Agreement is deemed concluded from the moment the "Confirm Order" button is clicked on the order placement page in the "Cart" section and the Buyer receives an electronic confirmation of the order from the Seller.

1. Definition of Terms

• 1.1. Public Offer (hereinafter — "Offer") — a public offer of the Seller addressed to an indefinite number of persons to conclude with the Seller a contract for the sale of goods by remote means (hereinafter — "Agreement") under the conditions contained in this Offer.

• 1.2. Goods or Service — the object of agreement between the parties (in particular, mineral fertilizers, plant protection products, seeds, and related agricultural products) selected by the Buyer on the Online Store website and placed in the cart, or already purchased by the Buyer from the Seller by remote means.

• 1.3. Online Store — the Seller's website at https://www.elagro.com.ua/, https://*.elagro.com.ua/ and the mobile application "GLOBAL ELAGRO", created for concluding retail and wholesale sale contracts based on the Buyer's familiarization with the description of Goods offered by the Seller.

• 1.4. Buyer — a capable individual who has reached 18 years of age, receives information from the Seller, places an order to purchase goods presented on the Online Store website, or a legal entity or individual entrepreneur.

• 1.5. Seller — LIMITED LIABILITY COMPANY "ELAGRO.UA" (abbreviated name: LLC "ELAGRO.UA"), identification code EDRPOU — 45921268, location: Ukraine, 01054, Kyiv city, 5 Leontovycha Street, Office 406.

2. Subject of the Agreement

• 2.1. The Seller undertakes to transfer ownership of Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.

• 2.2. The date of conclusion of the Agreement-Offer (acceptance of the offer) and the moment of full and unconditional acceptance by the Buyer of the terms of the Agreement is considered to be the date the Buyer completes the order form located on the Online Store website, provided that the Buyer receives an electronic confirmation of the order from the Seller. If necessary, upon the Buyer's request, the Agreement or individual Specifications/Invoices may be executed in written form or signed using Qualified Electronic Signature (QES/EDS).

3. Order Placement

• 3.1. The Buyer independently places an order in the Online Store through the "Cart" form, or by placing an order via email or phone number specified in the contacts section of the Online Store.

• 3.2. The Seller has the right to refuse to deliver the order to the Buyer if the information specified by the Buyer when placing the order is incomplete or inaccurate.

• 3.3. When placing an order, the Buyer undertakes to provide the following mandatory information:

• 3.3.1. Full name of the Buyer (or authorized person);

• 3.3.2. Delivery address of the Goods;

• 3.3.3. Contact phone number and E-mail;

• 3.3.4. EDRPOU / RNOKPP code (for legal entities and individual entrepreneurs).

• 3.4. Name, quantity, item number (SKU), and price of the selected Goods are specified in the Buyer's cart on the Online Store website.

• 3.5. When placing an order through the Seller's operator, the Buyer undertakes to provide the information specified in clause 3.3 of this Agreement.

• 3.6. The Buyer is responsible for the accuracy of the information provided when placing the Order.

• 3.7. By accepting the terms of this offer, the Buyer consents to the collection, processing, and transfer of personal data in accordance with the Law of Ukraine "On Personal Data Protection".

4. Price, Delivery, and Electronic Document Flow

• 4.1. Prices for Goods are determined by the Seller independently and indicated on the Online Store website in Ukrainian Hryvnias (UAH), including VAT.

• 4.2. Prices may be changed unilaterally by the Seller. In this case, the price of an individual unit of Goods paid in full by the Buyer is not subject to change.

• 4.3. The cost of Goods does not include delivery cost. The Buyer pays the delivery cost in accordance with the current tariffs of the carriers.

• 4.4. Settlements between the Seller and the Buyer are made using the methods specified in the "Payment and Delivery" section.

• 4.5. Electronic Document Flow (QES): Primary documents (consignment notes, acts, invoices) may be generated and signed by the Parties using a Qualified Electronic Signature (QES / EDS) via electronic document management systems ("Vchasno", "M.E.Doc", etc.). Documents in electronic form have full legal force.

• 4.6. Upon receipt of Goods, the Buyer in the presence of the delivery service representative is obliged to verify the compliance of Goods in terms of quantity, quality, and completeness.

• 4.7. The risk of accidental loss or damage to Goods passes to an individual Buyer from the moment of actual receipt of Goods. For legal entity Buyers, the risk passes from the moment Goods are handed over to the carrier / first carrier.

5. Return of Goods and Warranties

• 5.1. The Buyer (individual) has the right to return or exchange non-food goods of proper quality within 14 (fourteen) days, excluding the day of purchase, provided that their marketable condition, consumer properties, packaging, seals, and sales receipt are preserved.

• 5.2. Refund of funds to the Buyer is executed within 7 (seven) calendar days from the date of receipt of Goods by the Seller.

• 5.3. Return of Goods of proper quality is carried out at the Buyer's expense.

• 5.4. For agrochemical products (pesticides, agrochemicals, fertilizers), manufacturer quality certificates / certificates of conformity are provided.

• 5.5. Exceptions to the Right of Withdrawal: In accordance with Ukrainian legislation and EU Directive 2011/83/EU on consumer rights, the right of withdrawal from the agreement and return of goods of proper quality does not apply to agrochemical products, pesticides, fertilizers, plant protection products, and seeds in case of breach/opening of original sealed packaging, unsealing of protective seals, as well as in case of violation by the Buyer of established storage and transportation conditions for such goods.

6. Confidentiality and Seller's Details

• 6.1. Processing of personal data of Buyers is carried out in accordance with the Law of Ukraine "On Personal Data Protection". For Buyers located within the European Union, the Seller ensures compliance with the requirements of the General Data Protection Regulation (GDPR — General Data Protection Regulation (EU) 2016/679). Such Buyers have the right to access, rectify, erase ("right to be forgotten"), restrict processing, transfer data, and withdraw consent to data processing by sending a corresponding request to the Seller's email address.

7. Applicable Law, Dispute Resolution, and Cross-Border Transactions

• 7.1. Relationships of the Parties arising under this Agreement are governed by the substantive and procedural law of Ukraine, as well as relevant mandatory provisions of international law and EU consumer protection law.

• 7.2. Out-of-Court Dispute Resolution and ODR Platform: All disputes and disagreements shall be resolved through negotiations. Buyers from the European Union have the right to use the European Online Dispute Resolution (ODR) platform for out-of-court settlement of consumer disputes, available at: https://ec.europa.eu/consumers/odr.

• 7.3. Cross-Border Sales and Taxation (VAT): When selling goods outside the customs territory of Ukraine (including EU countries), the price of goods is regulated by international taxation and customs clearance rules. All customs duties, import taxes, and destination country VAT (if applicable) levied upon importation into EU countries shall be paid by the Buyer in accordance with the customs legislation of the destination country, unless otherwise agreed by a separate specification.
